Public Offer Agreement for Ordering Services and/or Purchasing Products

This Public Offer Agreement is made between Private Entrepreneur Liudmyla Sinhaievska (hereinafter referred to as the "Seller") on one side, and any individual who accepts this offer (hereinafter referred to as the "Customer") on the other side. Together referred to as the "Parties", and each separately as a "Party".

This Agreement serves as an official public offer by the Seller to enter into a service ordering and/or product purchase agreement with any Customer.
The Agreement outlines the procedure for ordering services and purchasing goods through the Singaevska online store, available at https://singaevska.com.ua/ (hereinafter referred to as the "Online Store").
By placing an order, the Customer fully and unconditionally agrees to the terms and conditions of this Agreement.

Definitions

Acceptance: Full, unconditional agreement of the Customer to all terms of this Agreement and its annexes (if any) as published on the Online Store website.

Customer:
Any individual, regardless of nationality or residency (except citizens of the Russian Federation or Republic of Belarus without legal grounds to reside/stay in Ukraine), who decides to order services and/or purchase products via the Online Store.

Online Store:
The website
https://singaevska.com.ua/, through which services and goods are offered for purchase.

Payment System:
Integrated online payment solutions such as WayForPay, Fondy, or LiqPay, through which the Customer can securely complete payment transactions.

Seller:
Private Entrepreneur Liudmyla Sinhaievska, registered in the Unified State Register of Legal Entities and Individual Entrepreneurs of Ukraine, registration number №2003340000000010858 dated 14.05.2021.

Public Offer:
A civil contract under Articles 633 and 641 of the Civil Code of Ukraine, obliging the Seller to provide services or sell goods to any individual who accepts the offer via the Online Store.

General Terms

Order placement and confirmation are considered acceptance of this Agreement between the Seller and the Customer, without requiring separate signed copies.

By accepting this Agreement, the Customer also accepts all related agreements, policies, and documents associated with the Seller’s provision of services and sales of goods.

By concluding this Agreement, the Customer confirms full awareness and unconditional acceptance of its terms.

Matters not regulated by this Agreement are governed by information provided on the Online Store and applicable Ukrainian legislation.

Communication between the Parties can be conducted via email, telephone, or other messaging channels.

This Agreement is published on the Online Store in Ukrainian.

The Seller reserves the right to amend or supplement this Agreement without prior consent from the Customer. Continued use of the Online Store after any changes indicates full acceptance of the updated Agreement.

Amendments to the Agreement take effect upon publication on the Online Store website.

Subject of the Agreement

The Seller agrees to provide services and/or sell goods to the Customer under the terms of this Agreement, and the Customer agrees to pay for the ordered services and/or goods in full.

Services offered include, but are not limited to:

- On-site consultations with fabric samples;

- Selection of the best textile design solutions according to the project or Customer's preferences;

- Technical consultations (curtain rod and sun protection systems installation);

- Preliminary cost estimation during project development;

Organization of installation services for curtain rods, roller blinds, and wooden blinds.

The current list of services and available products is provided in the relevant sections of the Online Store website.

In case of custom orders (such as custom curtains, decorative pillows, or bedspreads), a separate written or electronic agreement must be signed, regulating the production of individually specified items that can only be used by the specific Customer.

Upon request, the Seller shall provide the Customer with complete and reliable information regarding the Seller's working hours, offered services, and products.

Order Placement and Confirmation Procedure

● The Customer places an order on the appropriate page of the Online Store website by selecting the required service/product, resulting in the selected items being added to the Customer’s Shopping Cart, indicating their name, quantity, article number, and cost (price).
● The Customer may place an order for a service or product by filling out the “Contact Us…” form available on the Online Store’s website in the “Contacts” section.
● The Customer may also place an order by sending an email to the Seller, calling the provided phone number, or using any other communication channel listed in the “Contacts” section of the Online Store’s official website.
● To place an order, the Customer provides the following personal data: surname and first name, email address, and phone number.
● If additional information is required, the Seller has the right to request it from the Customer. If the necessary information is not provided, the Seller is not responsible for the quality of the service provided or goods purchased through the Online Store.
● The Customer is responsible for the accuracy and correctness of the information provided when placing the order.
● Order confirmation is considered the Customer’s payment for the respective service/product through prepayment by a cashless method via a payment system or directly to the Seller’s bank account. The Customer’s payment obligations are considered fulfilled once the funds are debited from their bank (card) account.
● The Seller’s order processing time, up to the point of transferring the product for delivery to a third party or notifying the Customer about the readiness for handover, depends on the availability of the product (or the Seller’s physical workload for services) but in any case does not exceed 5 (five) working days from the moment of payment. If payment is made on a weekend or holiday, the processing time starts from the next working day.

Payment Procedure

● The cost (price) of services and goods is displayed in the respective sections on the Online Store’s website.
● The Seller has the right to unilaterally change the price of any product or service. If the price of an ordered product or service changes, the Seller must inform the Customer. The Customer has the right to confirm or cancel the order if the price changes after order placement.
● Changing the price for goods or services already paid for by the Customer is not allowed.
● To make a payment, the Customer must enter bank details and other necessary information using a software application, widget, or other technical means provided by the payment system.
● The Customer is independently responsible for the accuracy of the payments they make. Responsibility for payment processing, quality, and speed of payment systems lies with the respective payment system selected by the Customer.
● Bank commission fees for payment of the Seller’s services and goods are borne by the Customer.

Provision of Services. Delivery (Handover) of Goods

● Services are considered fully provided and of proper quality if the Customer does not report otherwise within 3 calendar days after payment.
● Methods, procedures, and delivery times are indicated on the Online Store’s website in the “Payment and Delivery” section. Delivery terms are agreed upon with the Seller’s representative when placing the order.
● Delivery can be made by third parties (e.g., taxi or courier services, postal operators, carriers) or by pickup from the Seller’s showroom.
● Delivery costs are borne by the Customer.
● Upon receiving the goods, the Customer must check, in the presence of the Seller, their representative, or a third-party courier, that the goods match the quality and quantity specifications (product name, quantity, completeness, size, color, style, material, etc.).
● By signing the delivery note or receipt, the Customer confirms that they have no claims regarding the product’s quality, quantity, or completeness.
● Ownership and the risk of accidental loss or damage pass to the Customer upon receipt of the product from the Seller or the handover to a third party for delivery.
● The Customer may return or exchange goods of proper quality for similar items if the product does not meet their expectations regarding form, dimensions, style, color, size, or for other reasons that prevent its use.
● If a similar product is not available at the time of exchange, the Customer may either purchase other available goods (with corresponding recalculation), terminate the agreement and get a refund (excluding the Seller’s delivery costs), or wait for the next availability. The Seller must inform the Customer as soon as the requested item becomes available.
● The Customer has the right to exchange goods of proper quality within 14 calendar days, not counting the purchase date.
● Requests for exchanges or returns under the Law of Ukraine "On Consumer Rights Protection" are handled upon presentation of required documents by the Customer.
● The Seller is not responsible for defects that arise after the product is handed over to the Customer due to misuse, improper storage, third-party actions, or force majeure circumstances.
● Product returns are processed at the Seller’s showroom, whose address is listed in the “Contacts” section of the Online Store’s website.
● Upon termination of the sales agreement, settlements with the Customer are based on the price of the goods at the time of purchase. The funds are refunded on the same day of agreement termination or another date by mutual agreement if same-day refund is impossible.

Confidentiality of Information

● The procedure for collecting, processing, and using the Customer’s personal data when ordering services and/or purchasing goods through the Online Store is governed by the Privacy Policy, which is an integral part of this Agreement (Appendix No. 1).
● By placing an order and paying for goods/services or filling out forms and performing any actions aimed at fulfilling this Agreement, the Customer automatically consents to the collection, processing, and storage of their personal data without any time limitation.
● By entering into this Agreement, the Customer confirms that they have been informed of their rights under the Law of Ukraine "On Personal Data Protection," the purposes of data collection, processing, and usage, and that their personal data is transferred to the Seller for fulfillment of the Agreement’s conditions.
● The Customer also agrees that the Seller has the right to grant access to and transfer their personal data to third parties without additional notice, without changing the purpose of processing personal data, solely for the purpose of fulfilling the Customer’s order (for example, courier, postal, transport companies, payment systems, etc.), while ensuring the proper protection of such data.

Responsibility of the parties

● The Seller and the Customer are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.
● The Seller is not responsible for damage caused to the Customer as a result of actions and/or inaction of third parties (taxis, courier services, postal operators, carriers) involved in the delivery of goods ordered on the website of the Online Store.
● The Seller is not responsible for damage caused to the Customer or third parties as a result of improper installation, use and/or storage of goods purchased from the Seller.
● The Seller is not responsible for the non-compliance of the services provided by it and/or the goods sold by it with the expectations of the Customer and/or for dissatisfaction with the services provided/purchased goods, since the expectations and satisfaction of each specific person are personal and subjective in nature, therefore they cannot meet the requirements of the current legislation of Ukraine.
● In the event of force majeure circumstances that are beyond the reasonable foreseeability and control of the Customer and/or the Seller, the Parties are released from liability for failure to fulfill obligations that should have been fulfilled during the period of such circumstances.

Term and termination of the contract

● This Agreement is indefinite and enters into force from the moment of acceptance of this offer by the Customer.
● This Agreement may be terminated early at the initiative of one of the Parties on the grounds provided for by the current legislation of Ukraine.
● The Seller has the right to partially terminate this Agreement (until the violation is eliminated) or terminate it early, without prior notice to the Customer, in the event of its violation of the provisions of this Agreement and/or the requirements of current legislation.
